A memorandum of understanding for use in either:

A two party 50:50 UK joint venture where both parties intend to contribute existing businesses to a newly formed joint venture company.

A two party UK joint venture where one party will hold the majority of the shares in the joint venture company and intends to contribute an existing business to the newly formed company, and the other party will be the minority shareholder and intends to grant a licence of intellectual property rights, and provide related technical support, to the joint venture company.
