Stapled finance

Also known as stapled financing, or staple finance or financing.
Pre-arranged finance offered to potential buyers of a target company by the seller’s bankers to enable the purchase to be made by the eventual buyer. This type of finance is referred to as "stapled" as the commitment letter and term sheet for the finance is part of ("stapled to") the information package sent by the seller to potential buyers. Stapled finance was developed to speed up the bidding process for companies; in a competitive situation potential buyers do not have to spend as much time nor run up as high costs in seeking and negotiating finance.
