Passport System

Multilateral Instrument 11-102 Passport System (MI 11-102) provides a passport in all Canadian jurisdictions but Ontario for continuous disclosure, prospectuses and discretionary exemptions. National Policy 11-202 Process for Prospectus Reviews in Multiple Jurisdictions and National Policy 11-203 — Process For Exemptive Relief Applications In Multiple Jurisdictions set out the processes for the filing and review of prospectuses and exemptive relief applications in multiple jurisdictions, respectively, including Ontario. By using the passport system, a receipt or decision document signed by a principal regulator in one Canadian jurisdiction, can be deemed to be a receipt or decision document from other Securities Regulatory Authorities (other than the Ontario Securities Commission (OSC)) if certain conditions are met, such as filing required documents and fees on SEDAR+ with such other Securities Regulatory Authorities.
On June 23, 2016:
  • The Canadian Securities Administrators (CSA), other than the Ontario Securities Commission (OSC), implemented amendments to MI 11-102 and changes to Companion Policy 11-102CP Passport System (CP 11-102).
  • The CSA, except for the OSC and the Alberta Securities Commission (the ASC), implemented Multilateral Instrument 11-103 Failure-to-File Cease Trade Orders in Multiple Jurisdictions (MI 11-103).
  • All members of the CSA implemented the following policies:
    • National Policy 11-206 Process for Cease to be a Reporting Issuer Applications (NP 11-206).
    • National Policy 11-207 Failure-to-File Cease Trade Orders and Revocations in Multiple Jurisdictions (NP 11- 207).
    • National Policy 12-202 Revocation of Certain Cease Trade Orders (NP 12-202) (replacing National Policy 12-202 Revocation of a Compliance-Related Cease Trade Order).
    • National Policy 12-203 Management Cease Trade Orders (NP 12-203) (replacing National Policy 12- 203 Cease Trade Orders for Continuous Disclosure Defaults).
The amendments to MI 11-102 expanded the passport system to two new areas: applications to cease to be a reporting issuer and the issuance and revocation (including a variation) of failure-to-file cease trade orders. For more details, see:
