Under the Canada Business Corporations Act (CBCA), a director is a person occupying the position of a director by whatever name called, and a board of directors consists of all directors of the corporation (or a single director). These definitions capture a governor or a board of governors. This term should not be confused with the Director (uppercase). The Ontario Business Corporations Act (OBCA) takes the same approach.
