This Note provides an overview of the prohibitions against and sanctions for insider trading, tipping, and recommending trades under the Securities Act, R.S.O. 1990, c. S.5 (OSA), the Criminal Code, R.S.C. 1985, c. C-46 and the Canada Business Corporations Act, R.S.C. 1985, c. C-44 and the reporting obligations applicable to reporting insiders under the OSA and National Instrument 55-104 - Insider Reporting Requirements and Exemptions. This Note also discusses insider trading policies and related matters.
