Certificate of Merger

Also known as articles of merger. A certificate evidencing the merger of two or more entities into one entity. The content of the certificate of merger and the specific filing requirements vary from state to state, so it is important to review the statutes governing business entities in each of the states of organization of the constituent entities (including the surviving entity). In some states (such as Delaware), the certificate of merger may be filed in lieu of filing the merger agreement.
