Three agreements for US public company acquisitions with a deal value of $100 million or more were filed this past week.
On July 8, 2016, Siris Capital Group, LLC agreed to acquire voice and telephony gear maker Polycom, Inc. in an all-cash transaction valued at approximately $2.0 billion, including the assumption of debt. Before entering into the merger agreement, Polycom terminated its agreement dated April 15, 2016 to be acquired by Mitel Networks Corporation for $1.96 billion in cash and stock, and paid a $60 million break-up fee to Mitel.
On July 10, 2016, Nichi-Iko Pharmaceutical Co., Ltd. agreed to acquire pharmaceutical company Sagent Pharmaceuticals, Inc. in an all-cash tender offer valued at approximately $736 million.
On July 13, 2016, Thoma Bravo, LLC agreed to acquire healthcare IT security company Imprivata, Inc. in an all-cash transaction valued at approximately $544 million.
