This Standard Document provides guidelines for gathering competitive intelligence while respecting antitrust and competition laws, intellectual property and trade secrets laws, and contractual obligations, including guidance on how to respond to unsolicited offers of sensitive information. It also discusses the use of competitive intelligence obtained during due diligence in a transaction, how to document competitive intelligence that has been properly obtained, and rules for monitoring outside consultants. This Standard Document applies to only private workplaces. State or local law may impose additional or different requirements, but this document is useful and relevant to employers in every state.
