Non-Solicitation
Also known as a non-solicit, a restrictive covenant that contractually prohibits certain conduct and differs in meaning depending on the context. For example, a non-solicitation clause may prohibit:
In commercial and corporate transactions, one party from soliciting the employees or customers of another party during a specified period of time.
In employment agreements, an employee for a specified period after their employment (and sometimes during the employment relationship) from soliciting the employer's other employees, clients, customers, vendors, or business partners, in an attempt to hire, retain, or create contractual relationships with them. Non-solicitation provisions or agreements typically:
prevent former employees from using confidential and trade secret information to solicit others;
indirectly protect trade secrets by limiting a former employee's freedom to raid company resources; and
are found either in a stand-alone agreement or a non-compete agreement.
