This Standard Clause provides sample language for an optional non-solicitation of customers provision to be used in California. Due to unsettled authority, drafting a customer non-solicitation clause that is certain to be valid and enforceable under California law is challenging (see Drafting Note, Non-Solicitation Provisions Are a Type of Non-Compete Provision). It can be used as a stand-alone provision or incorporated into a written agreement with current or departing employees.
