Boilerplate

A term referring to standard contract provisions that are common to most agreements and usually included in the "Miscellaneous" section. Generally, these provisions are non-controversial and do not relate to the substantive parts of the agreement, but are necessary for the effective enforcement of each party's rights thereunder. Example clauses would include interpretation, amendments, notices, governing law, waiver of jury trial, entire agreement, headings and counterparts.
