The SEC issued two new compliance and disclosure interpretations (C&DIs) providing transition guidance for Rule 506 offerings that commenced prior to the September 23, 2013 effective date of the new Rule 506(c) exemption.
On January 23, 2014, the SEC issued two new compliance and disclosure interpretations (C&DIs) on Rule 506(c), which permits general solicitation and general advertising in certain securities offerings under Rule 506 of Regulation D. The new C&DIs, Question 260.33 and Question 260.34 in the Securities Act Rules C&DIs, provide transition guidance for Rule 506 offerings that commenced prior to the September 23, 2013 effective date of the new Rule 506(c) exemption.
