De Minimus

A Latin term meaning "too small to be meaningful or taken into consideration". This term is used in indemnification provisions. A de minimus threshold, or mini-basket, requires the covered damages from any particular claim to exceed a specified amount before such claim is counted towards the general liability basket. De minimus exceptions are commonly included in contracts to limit the application of covenants or other restrictions so that they do not apply in circumstances where the failure to observe the restriction has negligible impact.
