A Practice Note addressing key considerations in an agreement where one entity pays another entity to conduct research potentially leading to the development of certain technology for commercialization. The agreement may be called a contract research or sponsored research agreement. This Note discusses various aspects of such an agreement including the scope of the research activities, compensation and expense reimbursement, information and material transfer, intellectual property, confidentiality, publication, and other important considerations.
