A Checklist of key steps for counsel asked to chaperone due diligence sessions that include both investment banking personnel and research analysts in light of the 2003 global research settlement, as amended by the 2010 modifying order, and related SEC and FINRA rules. The steps set out below are based in part on guidelines proposed by the Securities Industry and Financial Markets Association (SIFMA) and supplemented with practice pointers and illustrative scenarios.
