A Practice Note addressing clawbacks and forfeitures of certain incentive compensation, such as bonuses and commissions. Specifically, it discusses types of compensation often subject to clawback and forfeiture provisions, common issues to consider when assessing whether a particular payment may be forfeited or clawed back under applicable state law, and drafting considerations. This Note does not address clawbacks under the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010.
