A Practice Note discussing the application of the Hart-Scott-Rodino (HSR) Act to acquisitions of assets or entities in bankruptcy. This Note discusses the treatment of Section 363(b) bankruptcies relative to other HSR-reportable acquisitions in bankruptcies, such as acquisitions under a plan of reorganization, and discusses the Rule 802.63(a) exemption, which exempts acquisitions by creditors of assets or equity in a bona fide debt workout, and the vulture fund exception to that exemption.
