This schedule (like the remainder of the asset purchase agreement) is drafted from the buyer's viewpoint and incorporates the Standard Commercial Property Conditions (Third Edition - 2018 Revision) (SCPC).

This schedule should be used in conjunction with Standard document, Asset purchase agreement. Unless terms are specifically defined in this Schedule, they are assumed to have the meaning given to them in Standard document, Asset purchase agreement. This document tries not to duplicate areas that are already dealt with in Standard document, Asset purchase agreement. If this document is used in conjunction with Standard document, Asset purchase agreement short form or other documents, care should be taken to ensure that all necessary provisions are included.
