A material adverse change clause (also known as a MAC or material adverse event (MAE) provision) for use in an asset purchase agreement (APA). It gives the buyer the right to terminate the APA prior to completion if the target business is materially and adversely affected by certain events occurring between exchange of the APA and the intended completion date.
