The SEC announced that it will soon implement a two-phase authentication process for EDGAR filers requesting to reset their EDGAR passphrase.
On December 12, 2016, the SEC announced that it will soon implement a two-phase authentication process for EDGAR filers requesting to reset their EDGAR passphrase. The announcement does not specify the exact date on which this change will take effect.
Under the new process, when a request is received by EDGAR to reset a passphrase, the EDGAR system will send an electronic security token to the EDGAR email contact on record. This electronic security token will be required to reset the filer's passphrase.
Filers should note that if their EDGAR contact information is not correct in the system, the security token will not be available to them when they try to reset the passphrase. This may:
  • Result in significant delays of more than 48 hours while the passphrase update request is manually reviewed.
  • Affect a filer's ability to submit its filings on time.
Therefore, the SEC recommends that filers log on to the EDGAR system now and update their contact information before the new process takes effect.
