A Standard Document that should be used to prepare an affidavit to accompany a buyer's premerger filing under the Hart-Scott-Rodino (HSR) Act in a non-negotiated transaction under HSR Rule 801.30, such as a tender offer or open market purchase. This Standard Document discusses the types of transactions where this affidavit may be used, the identity of proper signatories to the affidavit, the language that is required in both the affidavit and the accompanying Rule 803.5 notice, as well as filing logistics.
