This Practice Note discusses certain key issues project participants should consider when drafting and negotiating an operation and maintenance (O&M) agreement in connection with a project finance transaction. These issues include selecting and monitoring the O&M operator, defining the scope of the O&M services to be provided, managing O&M risks, and coordinating the O&M agreement with the other project documents.
